TRANSACTION AGREEMENT

This agreement, made and entered into by and between______________ , hereinafter called CUSTOMER, and BALLSUM CO. LTD, hereinafter called SUPPLIER.

This agreement contains the final and entire agreement between the parties hereto and they shall not be bound by any terms, conditions, statements or representations, oral or written, not contained in this agreement. no change in or modification of this agreement shall be valid unless the same is made in writing.

4. For the first transaction or a latest agreement has been subscribed over 12 months, this agreement shall be signed by both parties before the order being executed.

5. For each order, SUPPLIER shall send an order confirmation to CUSTOMER, and any deviation that are mentioned in the order confirmation shall become part of the agreement, unless CUSTOMER contests them in writing three(3) working days.

6. Date of delivery shall be written in the order confirmation by SUPPLIER. Invoice date shall be the same as date of delivery.

7. If CUSTOMER fails to adhere to the agreed terms of payment, he shall be liable after reminder from SUPPLIER. The right to claim further damages is reserved.

8. If any litigation is necessary, both parties agree to file the suit to Taiwan Taipei Distract Court. This agreement shall be governed by the laws of Taiwan

9. This agreement shall be in duplicate. CUSTOMER and SUPPLIER each have one copy.

10. This agreement shall be written in the Chinese language. In case of any discrepancy between the Chinese version and any translation thereof, the Chinese text shall govern.
